WPExperts provides digital services as outlined in individual project proposals or service agreements. The scope, deliverables, timeline, and pricing for each project are defined in the applicable proposal or agreement, which forms part of these Terms.

Services not explicitly listed in the project proposal are considered out of scope and may be subject to additional charges. Any expansion of scope must be agreed upon in writing before work commences.

3. Quotes, Proposals & Agreements

All quotes provided by WPExperts are valid for 15 calendar days from the date of issue unless otherwise stated. A project commences only upon:

Advance payments are generally non-refundable once work has commenced. If WPExperts is unable to deliver due to reasons within our control, a pro-rated refund for undelivered work will be issued. All refund requests must be submitted in writing.

Currency & Taxes

All prices are in Indian Rupees (INR) unless otherwise specified. GST (Goods and Services Tax) at the applicable rate will be added to invoices for Indian clients. International clients are not charged Indian GST.

Estimated timelines are provided in good faith based on the agreed scope and assumed client cooperation. Delays caused by the following are outside WPExperts' control and will adjust the project timeline accordingly:

WPExperts will communicate any anticipated delays promptly and work collaboratively to establish revised timelines.

7. Revisions & Change Requests

Each project includes a defined number of revision rounds as stated in the proposal. Typical inclusions are:

Revision rounds cover refinements within the original scope — they do not include new features, layout overhauls, or additional pages not originally specified. Such changes will be scoped and priced separately.

Change requests must be submitted in writing. Verbal change requests will not be actioned until confirmed in writing by both parties.

8. Intellectual Property & Ownership

Your Content

You retain full ownership of all content, data, and assets you provide to us. By providing this content, you grant WPExperts a non-exclusive licence to use it solely for the purpose of delivering your project.

Final Deliverables

Upon receipt of full and final payment, WPExperts transfers to you all rights, title, and interest in the custom design and code created specifically for your project. This excludes:

Portfolio Rights

WPExperts reserves the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing at the time of project commencement.

9. Google Ads & Third-Party Platforms

Important: Google Ads and other advertising platforms are owned and operated by third parties. WPExperts manages campaigns on your behalf but cannot control platform policies, algorithm changes, ad approval decisions, or auction dynamics.

WPExperts employs ethical, white-hat SEO practices in accordance with search engine guidelines. However:

Both parties agree to keep confidential all non-public information shared during the course of the engagement, including but not limited to: business strategies, pricing, client lists, access credentials, and financial data.

This obligation does not apply to information that is: (a) publicly known, (b) independently developed, (c) received from a third party without restriction, or (d) required to be disclosed by law.

Confidentiality obligations survive the termination of any project or agreement for a period of 2 years.

12. Limitation of Liability

To the maximum extent permitted by applicable law, WPExperts shall not be liable for:

Our total cumulative liability for any claim related to our services shall not exceed the total fees paid by you to WPExperts in the 3 months preceding the claim.

We do not warrant that our services or deliverables will be error-free, uninterrupted, or meet every specific expectation. Our website and services are provided "as is" without warranties beyond those expressly stated above.

14. Termination

By the Client

You may terminate a project or retainer with 30 days' written notice. All work completed and costs incurred up to the termination date are payable. Advance payments already made are non-refundable for completed work.

WPExperts may terminate services immediately and without liability if:

15. Governing Law & Disputes

These Terms and any disputes arising from them shall be governed by the laws of India, specifically those applicable in the state of Tamil Nadu.

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days. If unresolved, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Chennai, Tamil Nadu. The language of arbitration shall be English.

Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
