1. Definitions
In these Terms of Service:
- "WPExperts," "we," "our," "us" refers to WPExperts, a digital services business based in Chennai, Tamil Nadu, India.
- "Client," "you," "your" refers to any individual or business entity that engages WPExperts for services or visits our website.
- "Services" refers to all services offered by WPExperts including but not limited to WordPress development, Google Ads management, SEO, WooCommerce development, and digital consulting.
- "Project" refers to a specific, agreed-upon scope of work as detailed in a proposal or statement of work.
- "Agreement" refers to the signed proposal, purchase order, or written confirmation of services between you and WPExperts.
2. Scope of Services
WPExperts provides digital services as outlined in individual project proposals or service agreements. The scope, deliverables, timeline, and pricing for each project are defined in the applicable proposal or agreement, which forms part of these Terms.
Services not explicitly listed in the project proposal are considered out of scope and may be subject to additional charges. Any expansion of scope must be agreed upon in writing before work commences.
3. Quotes, Proposals & Agreements
All quotes provided by WPExperts are valid for 15 calendar days from the date of issue unless otherwise stated. A project commences only upon:
- Written acceptance of the proposal (email confirmation is acceptable), and
- Receipt of the agreed advance payment (see Section 4).
Verbal commitments do not constitute a binding agreement. WPExperts reserves the right to decline any project at its discretion.
4. Payment Terms
One-Time Projects
- 50% advance is required before work begins.
- 40% upon staging/preview approval (before going live).
- 10% on final delivery and project handover.
Monthly Retainers
- Monthly retainer fees are due in advance on the 1st of each month (or as agreed in writing).
- Work for a given month will not commence if the prior month's payment is outstanding beyond 7 days.
Late Payments
- Invoices not paid within the agreed payment period are subject to a 1.5% monthly interest charge.
- WPExperts reserves the right to pause all active work until outstanding invoices are settled.
- Accounts overdue by more than 30 days may be referred to a collections process.
Refunds
Advance payments are generally non-refundable once work has commenced. If WPExperts is unable to deliver due to reasons within our control, a pro-rated refund for undelivered work will be issued. All refund requests must be submitted in writing.
Currency & Taxes
All prices are in Indian Rupees (INR) unless otherwise specified. GST (Goods and Services Tax) at the applicable rate will be added to invoices for Indian clients. International clients are not charged Indian GST.
5. Client Responsibilities
A successful project depends on active client participation. You agree to:
- Provide all required content, assets, branding materials, login credentials, and approvals in a timely manner.
- Respond to queries, review requests, and approval milestones within 5 business days. Delays beyond this may impact project timelines without liability to WPExperts.
- Provide accurate and complete information. WPExperts is not responsible for outcomes resulting from inaccurate information provided by the client.
- Ensure that all content, images, and materials provided to us do not infringe any third-party intellectual property rights.
- Maintain backup copies of your website and data. WPExperts recommends regular backups and is not liable for data loss.
6. Project Timelines & Delays
Estimated timelines are provided in good faith based on the agreed scope and assumed client cooperation. Delays caused by the following are outside WPExperts' control and will adjust the project timeline accordingly:
- Late or incomplete content/asset delivery from the client.
- Delayed feedback or approvals beyond the 5-business-day window.
- Scope changes mid-project.
- Third-party platform outages (hosting, domain registrars, Google, etc.).
- Force majeure events (natural disasters, internet outages, government actions).
WPExperts will communicate any anticipated delays promptly and work collaboratively to establish revised timelines.
7. Revisions & Change Requests
Each project includes a defined number of revision rounds as stated in the proposal. Typical inclusions are:
- Design phase: 2 rounds of revisions.
- Development phase: 1 round of bug/adjustment fixes post-delivery.
Revision rounds cover refinements within the original scope — they do not include new features, layout overhauls, or additional pages not originally specified. Such changes will be scoped and priced separately.
Change requests must be submitted in writing. Verbal change requests will not be actioned until confirmed in writing by both parties.
8. Intellectual Property & Ownership
Your Content
You retain full ownership of all content, data, and assets you provide to us. By providing this content, you grant WPExperts a non-exclusive licence to use it solely for the purpose of delivering your project.
Final Deliverables
Upon receipt of full and final payment, WPExperts transfers to you all rights, title, and interest in the custom design and code created specifically for your project. This excludes:
- Third-party themes, plugins, or frameworks licensed under their own terms (e.g., Elementor Pro, WooCommerce).
- Stock images or assets licensed from third-party providers.
- WPExperts proprietary tools, methodologies, or boilerplate code reused across projects.
Portfolio Rights
WPExperts reserves the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing at the time of project commencement.
9. Google Ads & Third-Party Platforms
Important: Google Ads and other advertising platforms are owned and operated by third parties. WPExperts manages campaigns on your behalf but cannot control platform policies, algorithm changes, ad approval decisions, or auction dynamics.
By engaging WPExperts for Google Ads management:
- You must own and maintain the Google Ads account. WPExperts manages campaigns as an authorised representative — we do not operate campaigns from our own accounts on your behalf.
- You are responsible for all ad spend charged by Google. WPExperts does not handle client ad budgets unless explicitly agreed in a separate billing arrangement.
- Ad performance is influenced by many factors beyond our control including competition, seasonality, and platform changes. We do not guarantee specific results.
- You agree to comply with Google Ads policies and are responsible for ensuring your advertised business and landing pages comply with applicable laws and platform rules.
10. SEO Disclaimer
WPExperts employs ethical, white-hat SEO practices in accordance with search engine guidelines. However:
- We do not guarantee specific search rankings, traffic volume, or position on any search engine.
- Search engine algorithms change frequently and are outside our control. Rankings can fluctuate.
- SEO is a long-term investment. Results typically become measurable over 3–6 months and compound over time.
- Any engagement in black-hat techniques, spam, or link schemes by the client independently of WPExperts may negatively impact rankings and voids our service commitments.
11. Confidentiality
Both parties agree to keep confidential all non-public information shared during the course of the engagement, including but not limited to: business strategies, pricing, client lists, access credentials, and financial data.
This obligation does not apply to information that is: (a) publicly known, (b) independently developed, (c) received from a third party without restriction, or (d) required to be disclosed by law.
Confidentiality obligations survive the termination of any project or agreement for a period of 2 years.
12. Limitation of Liability
To the maximum extent permitted by applicable law, WPExperts shall not be liable for:
- Any indirect, incidental, consequential, or punitive damages arising from use of our services.
- Loss of revenue, profits, data, goodwill, or business opportunity.
- Damages arising from third-party platforms (Google, hosting providers, payment gateways, etc.).
- Losses resulting from client-provided inaccurate information or client delays.
Our total cumulative liability for any claim related to our services shall not exceed the total fees paid by you to WPExperts in the 3 months preceding the claim.
13. Warranties & Disclaimers
WPExperts warrants that:
- Services will be performed with reasonable skill and care.
- Deliverables will substantially conform to the agreed specifications at the time of delivery.
- We will not knowingly use infringing third-party intellectual property in our work.
We do not warrant that our services or deliverables will be error-free, uninterrupted, or meet every specific expectation. Our website and services are provided "as is" without warranties beyond those expressly stated above.
14. Termination
By the Client
You may terminate a project or retainer with 30 days' written notice. All work completed and costs incurred up to the termination date are payable. Advance payments already made are non-refundable for completed work.
By WPExperts
WPExperts may terminate services immediately and without liability if:
- Payment is overdue by more than 30 days.
- You engage in illegal, abusive, or unethical activities.
- You violate these Terms or any applicable platform policies.
- Continuing the engagement would expose WPExperts to legal or reputational risk.
Upon termination, WPExperts will hand over all completed work and relevant access credentials after all outstanding invoices are settled.
15. Governing Law & Disputes
These Terms and any disputes arising from them shall be governed by the laws of India, specifically those applicable in the state of Tamil Nadu.
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days. If unresolved, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Chennai, Tamil Nadu. The language of arbitration shall be English.
Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
16. General Provisions
- Entire Agreement: These Terms, together with any applicable project proposal or service agreement, constitute the entire agreement between the parties and supersede all prior understandings.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.
- Assignment: You may not assign your rights or obligations under these Terms to any third party without our prior written consent. WPExperts may assign its obligations in connection with a business transfer or acquisition.
- Amendments: We may update these Terms periodically. Continued use of our services after updates are posted constitutes acceptance. We will notify active clients of material changes via email.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government actions, internet or power outages, or pandemics.
